vREST is a product owned by Optimizory Technologies Pvt. Ltd. If you are a visitor to vREST’s website or a user of vREST, then this privacy policy applies to your use of such service.

  1. The vREST Product

    vREST is a software product that is used to create, run and organize REST API test cases.
    vREST services can be used in the following two modes and this has some significance in terms of your data stored with us:
    1. vREST Cloud: This version of vREST is managed by Optimizory Technologies and runs on a cloud platform and thus the data provided/ generated by the user(s) is stored on the cloud.
    2. vREST Enterprise: This version of vREST can be deployed “behind the firewall”, and in this case, we would only need one contact information for license maintenance and invoicing.
  2. Applicability of Privacy Policy

    The entire Privacy Policy is applicable to both Versions of vREST. Deviations if any are indicated within the sub-sections.

  3. Purpose of Collecting Data

    vREST’s business model is based on license sales and subscriptions to the services.
    In this process, we process and control the following type of data in order to run our business:
    • User’s data for Invoicing, License Management, Product Support, and for providing product information/notifications.
    • Data stored by the user, on the cloud, in the process of using vREST. (This is applicable to vREST Cloud only).
    • Data related to customer interactions with the support team or the product; for the purpose of product improvement.
    The following information is directly managed by the payment service providers

  4. The Information we collect and how we use it

    During the signup process, you are asked to provide personal information, such as your name, email address, designation, organization name, website, home or work address, or telephone number.
    During the same process, we will share details of information collected from you and processed by us and seek your consent against the same.
    We can collect your information from other sources, such as partners/ resellers and third parties which may contact us to purchase/renew vREST licenses on your behalf.
    We can also collect your information from emails that you send to us, or through web meeting, about your interaction with vREST’s website and services. In such cases, it is assumed that the information is voluntarily provided and can be used for our product development without any limitations.
    If you choose to make a purchase or sign up for a paid subscription service, we will ask for additional information, such as your billing address, which will be used to create invoices and quotes.
    Financial information, like credit card number etc, is not stored by us and exclusively handled by our payment service providers.
    When you receive newsletters or promotional emails from vREST, we may use customized links or similar technologies to determine which links you have clicked, in order to provide you more focused email communications or other information. However, you will have an option to set your preferences. This will be addressed in one of the sub-sections below.
    We do not store any kind of sensitive personal data of our Users like religious or political affiliations or personal views.

  5. Use of Your Personal Information

    We collect and use your personal information to operate and improve our product, website, and services and for its legitimate business interests like generating quotes, invoices, etc. These uses may include providing you with more effective customer service; making the website or services easier to use by eliminating the need for you to repeatedly enter the same information; performing research and analysis aimed at improving our product, services, and technologies; and displaying content that is customized to your interests and preferences.
    We also use your personal information to communicate with you. We may send certain mandatory service communications such as welcome emails, billing reminders, information on technical service issues, and security announcements.
    We may also use the information for sharing news about product upgrades and promotions. However, this is optional and you can turn off these preferences.
    Personal information collected on vREST’s website and services may be stored and processed in the United States, India or any other country in which vREST or its affiliates, subsidiaries or service providers maintain facilities.

  6. Sharing of Your Personal Information

    Except as described in this statement, we will not disclose your personal information outside our organization and its controlled subsidiaries and affiliates without your consent.
    We do not sell or share your personal information to third parties for third-party direct marketing purposes.
    We occasionally hire other companies to provide limited services on our behalf, such as handling the processing and delivery of mailings, providing customer support, hosting websites, processing transactions, or performing statistical analysis of our services. Those service providers will be permitted to obtain only the personal information they need to deliver the service. They are required to maintain the confidentiality of the information and are prohibited from using it for any other purpose. We may access or disclose information about you, including the content of your communications, in order to: (a) comply with the law or respond to lawful requests or legal process; (b) protect the rights or property of our organisation or our customers, including the enforcement of our agreements or policies governing your use of the services; or (c) act on a good faith belief that such access or disclosure is necessary to protect the personal safety of our organization’s employees, customers or the public.   7. Accessing Your Personal Information

    You will have the ability to view or edit your personal information from your profile page on our website. In order to help prevent your personal information from being viewed by others, you will be required to sign in with your credentials (e-mail address and password).

  8. Accessing other Information stored on our Servers

    The data that you generate while using our product, and also the data that is automatically generated during the course of using vREST-
    • Can be viewed after successful login into your account.
    • It can also be downloaded by you in the specified formats provided by us.
    (This is applicable to vREST Cloud only)

  9. Information Retention and Deletion

    You may request deletion of your personal information at any time by using the option provided in your profile page on our website.
    Following such request,
    • Either the information will be automatically deleted as scheduled.
    • OR, we will delete the information that is no longer required by any relevant law or jurisdiction in which we operate.
    In certain circumstances, we may be unable to delete your information,
    • Such as if there is an outstanding credit on your account. Upon resolution of the issue preventing deletion, we will delete your information as described above.
    • We may also retain certain information if necessary for its legitimate business interests, such as fraud prevention and enhancing users’ safety and security.
    • If a paid license has been generated against your account, we may retain information required to maintain previously generated documents like quotes, invoices, etc. This is for ensuring tax compliance.
  10. Communication and Data Processing Preferences

    You can stop the delivery of future promotional email from vREST by following the specific instructions in the email you receive.
    You can also stop the processing of your personal information via the vREST profile page on our website.

  11. Security of Your Personal Information

    We are committed to protecting the security of your personal information and information collected for advertising purposes. We use a variety of security technologies and procedures to help protect your personal information from unauthorized access, use, or disclosure. For example, we store the personal information you provide on computer systems with limited access, which are located in controlled facilities. When we transmit highly confidential information (such as a credit card number or a financial transaction) over the Internet, we protect it through the use of encryption, such as the Secure Socket Layer (SSL) protocol.
    If a password is used to help protect your accounts and personal information, it is your responsibility to keep your password confidential. Do not share this information with anyone. If you are sharing a computer with anyone you should always log out before leaving a site or service to protect access to your information from subsequent users.
    There are strict measures that we take in securing our data and also to track any data breach.
    On the occurrence of any data breach, our breach tracking and reporting system instantly notify us about any unauthorized access. On the occurrence of a data breach, we publish the details and impact of the data breach on this page. All the users affected by that data breach are notified within 72 hours.
    If you find any issue or have any complaints regarding the security of your personal information, you can send us a request at data.protection@optimizory.com.

  12. Use of Cookies

    vREST website uses “cookies” to enable you to sign in to our services and to help personalize your online experience. A cookie is a small text file that is placed on your hard disk by a Web page server. Cookies contain information that can later be read by a Web server in the domain that issued the cookie to you. vREST Terms Of Use



  1. Introduction

    vREST is a software product that is used to create, run and organize REST API test cases.

    vREST services can be used in the following two modes:

    1. vREST Cloud: This version of vREST is managed by Optimizory Technologies and runs on a cloud platform.
    2. vREST Enterprise: This version of vREST can be deployed by users “behind the firewall”. The user will need to create at least one account on vREST Cloud for license maintenance and invoicing purpose.
    The following terms and conditions govern all use of the vREST Website and all content, services and products available at or through the Website, collectively called vREST. The Website and the product are owned and operated by Optimizory Technologies Pvt. Ltd. (“Optimizory”).

  2. The Agreement and Your Acceptance

    This is an agreement (“Agreement”) between vREST from Optimizory Technologies Private Limited. (“vREST"), and you (“you” or “your” or “user(s)”), a user of vREST.

    This Agreement is legally binding and governs your use of vREST. Throughout this Agreement, the words “vREST,” “us,” “we,” and “our,” refer to our company, Optimizory Technologies Private Limited, and vREST, or our Service, as is appropriate in the context of the use of the words.

    vREST is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, vREST’s Privacy Policy) and procedures that may be published from time to time on this site by Optimizory (collectively, the “Agreement”).

    Please read this Agreement carefully before accessing or using vREST. By accessing or using any part of the web site or services, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access vREST or use any services. If these terms and conditions are considered an offer by Optimizory, acceptance is expressly limited to these terms.

  3. Your vREST Account

    1. You must register for an account to gain access to our Service. When creating an account you will be asked to provide your personal details like name, organization name, email, etc.
    2. If you choose to use any of our paid services, then you will have to provide your Credit / Debit Card information. This data will be provided by you to our payment processor amd the information will be used, stored and processed by our payment processor.
    3. If you create an account on vREST Cloud, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account.
  4. Access to vREST and Limited License

    1. Once you have registered for an account and paid any applicable fees you will be able to access our Service. We grant you a revocable, conditional, non-exclusive, personal, license to access vREST and to use any of our Services including our Software.
    2. This license grant is subject to payment, compliance with our Terms of Use, the Privacy Policy, and any additional rules we may impose on your license.
    3. Using our paid Services does not grant you an ownership interest in any of our Services or Software; you merely receive the same license listed above to use our paid Services and any additional Software.
    4. You agree not to distribute any content found on our Site and Service without our prior written authorization, unless such distribution is through functionality offered by our Service.
    5. You are expressly forbidden to resell or offer our Site or Service unless you have received prior written permission from us. You agree not to access content through any technology or means other than through our Site or Service or as otherwise authorized by us.
  5. User Content

    1. When submitting any data to our platform, you understand that this data
      1. is owned by you
      2. but it will be viewable by you or other users depending on your project settings.
    2. Your data stored on our platform can be shared by us under the following conditions:
      1. If it is a legal obligation / government regulation.
      2. If you ask us to generate a payment link, then we will share your name and email-id with the payment service provider.
      3. Messaging app (like Intercom) has access to your name and email-id, but this information can be deleted / anonymized by you.
    3. Please be aware that although we offer storage of your data on our Cloud, we do not ensure the safety of this data if the security breach of your account occurs.
    4. In case we receive objections against the content owned and uploaded by you, we reserve the right to remove it from our servers.
    5. If you wish to delete your data you can do that via your vREST Profile Page.
  6. Applicable fee and charges

    1. Payment

      After browsing our Site, you may be interested in using our Service. You will be required to submit payment information to do so. To process our payments we may use a third party payment processor at our discretion. Your payment information will be collected and stored with them. You must agree with their terms and conditions before paying for or using any of our paid Services.

    2. Refunds

      At vREST we want you to be satisfied with your use of our paid Services. However, as we offer software as a service we cannot offer refunds. If you feel that you are entitled to a refund please contact us at support@vrest.io. Please remember that we have the sole, absolute and final discretion in granting any and all refunds.

    3. Taxes

      If you are located outside India, the local taxes in your country are your responsibility, since we do not have the capability to collect and process local taxes in every country.

  7. Your Responsibilities while using vREST

    You must immediately notify Optimizory of any unauthorized uses of your account or any other breaches of security. Optimizory will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. If you are hosting any information or data on vREST, then you are also responsible for that data. You will be responsible for the use of your vREST account and for any use of vREST made using your account. When using vREST:
    1. You agree not to impersonate any person or entity or misrepresent your affiliation with a person or entity;
    2. You agree not to misappropriate any of our intellectual property;
    3. You agree that you will not upload invalid data, viruses, worms or other software agents through the Service or Software;
    4. You agree not to violate any requirements, procedures, policies or regulations of networks connected to vREST;
    5. You agree not to hack, spam or phish us or other users;
    6. You agree to not violate any law or regulation and you are solely responsible for such violations;
    7. You agree not to copy, modify, rent, lease, loan, sell, assign, distribute, reverse engineer, grant a security interest in, or otherwise transfer any right to the technology or Software underlying our Sites or any of our Services;
    8. You agree not to cause or aid in the cause of the destruction, manipulation, removal, disabling, or impairment of any portion of vREST, including the de-indexing or de-caching of any portion of vREST from a thirty party’s Website, such as by requesting its removal from a search engine.
    9. Please be aware that this is a non-exclusive list and in case of misconduct, we may have to suspend or revoke your access, if you fail to abide by these rules and solely at our discretion.
  8. Responsibility of Visitors

    1. We have not reviewed, and cannot review, all of the material, including computer software, posted on vREST, and cannot therefore be responsible for that material’s content, use or effects.
    2. By operating vREST, Optimizory does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful.
    3. You are responsible for taking precautions as necessary to protect yourself.
  9. Visiting Third Party Websites through vREST

    1. We may link to third party websites from vREST. We have no control over, and are not responsible for, these third party websites or their use of your personal information.
    2. Additionally, users may be able to post third party links through content submitted to our Site.
    3. We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which vREST links, and that link to vREST.
    4. We do not endorse, recommend or vouch for the security of linked websites. We recommend that you review their terms of use and privacy policies before accessing and using the third party site.
    5. You are responsible for taking precautions as necessary to protect yourself and your computer systems. Optimizory disclaims any responsibility for any harm resulting from your use of any such websites and webpages.
  10. Copyright Infringement Policy

    1. As we ask others to respect our intellectual property rights, we respect the intellectual property rights of others. If you believe that material located on or linked to by vREST, violates your copyright, you are encouraged to notify us.
    2. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material.
    3. We will terminate a visitor’s access to and use of vREST if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of Optimizory or others.
  11. Intellectual Property

    This Agreement does not transfer from Optimizory to you, any Optimizory or third party intellectual property, and all rights, titles and interests in and to such property will remain (as between the parties) solely with Optimizory.

    Optimizory, vrest.io, the vREST logo, and all other trademarks, service marks, graphics and logos used in connection with vREST, or the Website are trademarks or registered trademarks of Optimizory. Other trademarks, service marks, graphics and logos used in connection with vREST may be the trademarks of other third parties.

    Other users/sites may not, without the express written permission of Optimizory, (a) Point or link from a site directly to content within this site, other than pointing or linking to the home page (vrest.io); or (b) Copy, modify or display vREST’s name, logo, text or images in any way; or (c) Redeliver any pages, text, images or content of this site by any means.

    Your use of vREST grants you no right or license to reproduce or otherwise use any of the Optimizory or third-party trademarks.

  12. Attribution

    Optimizory reserves the right to display attribution links such as ‘Powered by Optimizory,’ theme author, and font attribution in your content footer or toolbar. Footer credits and toolbar may not be removed regardless of upgrades purchased.

  13. Changes

    1. Optimizory reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes, though we will try our level best to keep you informed.
    2. Your continued use of or access to vREST following the posting of any changes to this Agreement constitutes acceptance of those changes.
    3. We may also, in the future, offer new services and/or features through vREST (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.
  14. Termination

    1. Optimizory may terminate your access to all or any part of vREST at any time, due to breach of agreement or at our discretion, with or without notice, effective immediately.
    2. If you wish to terminate this Agreement or your vREST account (if you have one), then you may request deletion of your personal information at any time by using the option provided in your profile page on our website.
      Following such request,
      • Either the information will be automatically deleted as scheduled.
      • OR, we will delete the information that is no longer required by any relevant law or jurisdiction in which we operate.
    3. All provisions of this Agreement, which by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
  15. Disclaimer of Warranties

    1. vREST is provided “as is”. Optimizory and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement.
    2. Neither Optimizory nor its suppliers and licensors, makes any warranty that vREST will be error free or that access thereto will be continuous or uninterrupted.
    3. You understand that you download from, or otherwise obtain content or services at your own discretion and risk.
    4. We may at our discretion modify and, update vREST. While every effort will be made to ensure availability, we retain the right to delete, disable or otherwise discontinue vREST at our discretion
  16. Limitation of Liability

    In no event will Optimizory, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) for interruption of use or loss or corruption of data. Optimizory shall have no liability for any failure or delay.

  17. General Representation and Warranty

    You represent and warrant that (i) your use of vREST will be in strict accordance with the vREST Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the country in which vREST resides or the country in which you reside) and (ii) your use of vREST will not infringe or misappropriate the intellectual property rights of any third party.

  18. Indemnification

    You agree to indemnify and hold harmless Optimizory, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of vREST, including but not limited to your violation of this Agreement.

  19. Miscellaneous

    This Agreement constitutes the entire agreement between Optimizory and you, concerning the subject matter hereof.

    1. Choice of Law

      This Agreement will be deemed to have been made and executed in New Delhi, India and any dispute arising hereunder will be resolved in accordance with the laws of the Indian Judiciary at New Delhi, India.

    2. Forum of Dispute

      Any dispute arising from or related to this Agreement will be adjudicated exclusively in courts located in New Delhi, India. You expressly consent to the exercise of personal jurisdiction by such courts and agree that you will not object to jurisdiction of or venue in such courts on the grounds of lack of personal jurisdiction, forum non conveniens, or otherwise. If you bring a dispute in a manner other than in accordance with this section, you agree that Optimizory may move to have it dismissed, and that you will be responsible for Optimizory’s reasonable attorneys’ fees, court costs, and disbursements in doing so.

    3. Force Majeure

      You agree that we are not responsible to you for anything that we may otherwise be responsible for, if it is the result of events beyond our control, including, but not limited to, acts of God, war, insurrection, riots, terrorism, crime, labor shortages (including lawful and unlawful strikes), embargoes, postal disruption, communication disruption, failure or shortage of infrastructure, shortage of materials, or any other event beyond our control.

    4. Severability

      In the event that a provision of this Agreement is found to be unlawful, conflicting with another provision of the Agreement, or otherwise unenforceable, the Agreement will remain in force as though it had been entered into without that unenforceable provision being included in it. If two or more provisions of this Agreement are deemed to conflict with each other’s operation, Optimizory Technologies Private Limited will have the sole right to elect which provision remains in force.

    5. Non-Waiver

      A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.

    6. Assignment

      You may not assign your rights and/or obligations under this Agreement to any other party without our prior written consent. We may assign our rights and/or obligations under this Agreement to any other party at our discretion.

    7. Amendments

      We may amend this Agreement from time to time. When we amend this Agreement, we will update this page, contact you and indicate the date that it was last modified. You may refuse to agree to the amendments, but if you do, you must immediately cease using vREST and our Services.

    8. Applicability of parts of Agreement

      If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect.

    9. Electronic Communications

      When you visit our website, or send us emails, you are communicating with us electronically. In so doing, you consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this website. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.

This Optimizory Online Privacy Statement applies to data collected by Optimizory through the majority of its Web sites and services, as well as its offline product support services. Many different Optimizory sites and services use the same credentials. You can use the same credentials to sign in to many different Optimizory sites and services. By signing in on one Optimizory site or service, you may be automatically signed into other Optimizory sites and services.

We may collect information about your interaction with Optimizory sites and services. We may amend our Terms of Service or Privacy Policy from time to time, we will notify you of these changes to our policy. In order to continue using our Site and Service you must agree to all such changes.   2. A Brief Description of vREST

    vREST provides a service that creates API verification/testing and documentation. This documentation helps to facilitate communication and data exchange between our users and their clients. Additionally, our Service provides an automated mock based testing environment for our users.

  3. Registering and Creating an vREST Account

    You must register for an account to gain access to our Site and Service. When creating an account we will collect your name, email, address and telephone number. You may also be given the option to add additional information to assist you in using our Service. If you wish to use any of our paid services you will be required to submit your credit card information. This information will be shared with our payment processor 2Checkout and will not be stored with vREST. All information submitted when registering must be truthful and accurate. You may only register as yourself. If you are registering for an organization or non-human entity you represent that you either have the right to or have permission to use the name or likeness of that organization or group.

  4. Your Responsibilities When Using vREST

    You are responsible for your use of vREST, and for any use of vREST made using your account. Additionally, as this is a community please be respectful and cordial at all times. When using vREST:

    2. You agree to keep your password and login information safe and confidential;
    3. You agree not to misappropriate any of our intellectual property;

    5. You agree that you are solely responsible for any Content submitted to our Site through your account;

You agree to grant vREST and its users, affiliates, representatives and assigns a non-exclusive, fully-paid, royalty- free, world-wide, universal, transferable license to display, publicly perform, distribute, store, broadcast, transmit, reproduce, modify, prepare derivative works and otherwise use and reuse all or part of your Content submitted and anything we may make with your Content through vREST or any other medium currently invented or invented in the future. We reserve the right to display advertisements in connection our Site, and to use your Content to advertise and promote vREST. The foregoing license granted by you terminates once you remove your Content from vREST. However, you agree that we may store or archive any deleted Content for a commercially reasonable time after the termination of your Content. By submitting any Content to our Site and Service, you hereby represent and warrant that you own all rights to your Content or, alternatively, that you have the right to give us the license described above. You also promise that you have paid and will pay in full all fees or other payments related to the use of your post.   14. Termination and Cancellation

    We may terminate or suspend service or your account or any other provision of services to you at our discretion without explanation and notice, though we will strive to provide a timely explanation in most cases. If you wish to terminate this Agreement, your vREST account, or access to any paid Services, please contact us at support@vrest.io. Please be aware that you are solely responsible for properly cancelling your account. Cancellation may result in the immediate deactivation of your account or suspension of Service to you. After cancellation, your information may be inaccessible; however, we may keep copies of your information for a commercially reasonable time for legal and internal purposes. All provisions of this Agreement which by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

  15. Taxes

    You are solely responsible for any applicable state, federal or provincial taxes. Although you may not be charged taxes by us you agree that you will pay any applicable taxes or fees to your local or state tax agency for any purchases. We are not responsible for collecting, transmitting, or advising on taxes, duties, or other levies by the government regarding any payments by you to us.

  16. WARRANTY DISCLAIMERS

    THE SITE AND SERVICE ARE PROVIDED TO YOU AS IS AND FOR YOUR INFORMATION ONLY.
    OPTIMIZORY TECHNOLOGIES PRIVATE LIMITED AND ITS SUBSIDIARY AND AFFILIATE COMPANIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
    YOU AGREE THAT YOU ARE RELEASING US FROM ANY LIABILITY THAT WE MAY OTHERWISE HAVE TO YOU IN RELATION TO OR ARISING FROM THIS AGREEMENT, OUR SITE OR OUR SERVICE, FOR REASONS INCLUDING, BUT NOT LIMITED TO, FAILURE OF OUR SERVICE, OR NEGLIGENCE OR ANY OTHER SORT.
    Optimizory Technologies Private Limited MAKES NO WARRANTY, REPRESENTATION OR CONDITION THAT: (1) THE SITE, SOFTWARE, OR SERVICE WILL MEET YOUR REQUIREMENTS; (2) YOUR USE OF THE SERVICE OR SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (3) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE, SOFTWARE, OR SERVICE WILL BE ACCURATE OR RELIABLE; OR (4) ANY ERRORS IN THE SITE, SOFTWARE, OR SERVICE WILL BE CORRECTED.
    YOU AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS ENCOUNTERED THROUGH OUR SOFTWARE OR SERVICE. THE PROVISION OF OUR SERVICE TO YOU IS CONTINGENT ON YOUR AGREEMENT WITH THIS AND ALL OTHER SECTIONS OF THIS AGREEMENT.

  17. Limitation of Liability

    For your convenience, the following are some important details of this Agreement that affect your rights and remedies:

    6. vREST is not liable under any circumstances to any user for any user content submitted, posted or transmitted by any other user, even if that content violates this Agreement or other policies stated anywhere on our Site, and vREST takes no action to remove that content or terminate that user’s account;
    7. Your ability to use or interact with this Site is a privilege, not a right, and we reserve the right to take any action that we deem proper, without notice, to prevent any violation, enforce any provision, or rectify any alleged violations, of this Agreement or any applicable law at our sole discretion.

    YOU UNDERSTAND AND AGREE THAT IN NO EVENT WILL Optimizory Technologies Private Limited BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SITE OR SERVICE, INCLUDING WITHOUT LIMITATION, ANY DAMAGES RESULTING FROM LOSS OF USE, DATA, OR PROFITS, WHETHER OR NOT Optimizory Technologies Private Limited HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR FROM YOUR USE OF OUR SITE OR SERVICE, ON ANY THEORY OF LIABILITY, RESULTING FROM
    1. THE USE OR INABILITY TO USE THE SITE, SOFTWARE, OR SERVICE;
    2. STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SOFTWARE OR SERVICE; OR
    3. ANY OTHER MATTER RELATED TO THE SITE, SOFTWARE OR SERVICE, WHETHER BASED ON WARRANTY, COPYRIGHT, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY.

    IN THE EVENT OF A DISPUTE BETWEEN ANY USERS AND Optimizory Technologies Private Limited , Optimizory Technologies Private Limited’S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT A USER HAS PAID IN FEES TO Optimizory Technologies Private Limited FOR vREST SERVICE WITHIN THE PAST 12 MONTHS.

  18. Indemnity

    You agree to defend, indemnify and hold harmless vREST, its subsidiaries and affiliates, and their respective officers, directors, employees and agents (the “vREST Indemnified Parties”) from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses including but not limited to attorney's fees (collectively referred to hereinafter as the “Claims”) arising from:

    1. Your use of and access to the vREST Service;
    2. Your violation of any term of these Terms of Service;
    3. Any claim that your actions using our Site, Service or Software harmed a third party.

    You also agree that you have a duty to defend vREST Indemnified Parties against such claims and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for reasonable attorney's fees, court costs, and disbursements incurred by the vREST Indemnified Parties to resolve any Claims. In the event of a Claim, we may elect to settle with the party/parties making the Claim and you will be liable for the damages.

  19. Visiting Third Party Websites Through vREST

    When using any of our third party services you must agree and comply with their terms of service. We may also link to third party websites from our own website. We have no control over, and are not responsible for, these third party websites or their use of your personal information. We do not endorse, recommend or vouch for the security of such websites. We recommend that you review their terms of service and privacy policies before accessing and using the third party site. Additionally, users may be able to post third party links through Content submitted to our Site. We are not responsible for such links and do not monitor the posting of such links.   20. Choice of Law

    This Agreement will be deemed to have been made and executed in the New Delhi, India and any dispute arising hereunder will be resolved in accordance with the laws of the Indian Judiciary at New Delhi, India.

  21. Forum of Dispute

    Any dispute arising from or related to this Agreement will be adjudicated exclusively in courts located in the New Delhi, India. You expressly consent to the exercise of personal jurisdiction by such courts and agree that you will not object to jurisdiction of or venue in such courts on the grounds of lack of personal jurisdiction, forum non conveniens, or otherwise. If you bring a dispute in a manner other than in accordance with this section, you agree that vREST may move to have it dismissed, and that you will be responsible for vREST’s reasonable attorneys’ fees, court costs, and disbursements in doing so.

  22. Force Majeure

    You agree that we are not responsible to you for anything that we may otherwise be responsible for, if it is the result of events beyond our control, including, but not limited to, acts of God, war, insurrection, riots, terrorism, crime, labor shortages (including lawful and unlawful strikes), embargoes, postal disruption, communication disruption, failure or shortage of infrastructure, shortage of materials, or any other event beyond our control.

  23. Severability

    In the event that a provision of this Agreement is found to be unlawful, conflicting with another provision of the Agreement, or otherwise unenforceable, the Agreement will remain in force as though it had been entered into without that unenforceable provision being included in it. If two or more provisions of this Agreement are deemed to conflict with each other’s operation, Optimizory Technologies Private Limited will have the sole right to elect which provision remains in force.

  24. Non-Waiver

    We reserve all rights permitted to us under this Agreement as well as under the provisions of any applicable law. Our non-enforcement of any particular provision or provisions of this Agreement or the any applicable law should not be construed as our waiver of the right to enforce that same provision under the same or different circumstances at any time in the future.

  25. Assignment

    You may not assign your rights and/or obligations under this Agreement to any other party without our prior written consent. We may assign our rights and/or obligations under this Agreement to any other party at our discretion.

  26. Amendments

    We may amend this Agreement from time to time. When we amend this Agreement, we will update this page, contact you and indicate the date that it was last modified. You may refuse to agree to the amendments, but if you do, you must immediately cease using our website and our Service. We may contact you if we modify this Agreement, you must visit this page each time you come to our website and read and agree to it if the date it was last modified is more recent than the last time you agreed to the Agreement.
